Terms and Conditions

These Terms and Conditions ("Terms") govern your use of the OpenVenue platform. By accessing or using our services, you agree to be bound by these Terms. Please read them carefully.

1. Acceptance of Terms

By creating an account, accessing, or using OpenVenue, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not use our services.

2. Definitions

  • Platform: The OpenVenue website, mobile applications, and related services
  • Users: Any person who accesses or uses the Platform
  • Venue Owners: Users who list and manage venues on the Platform
  • Event Organizers: Users who search for and book venues through the Platform
  • Booking: A reservation made through the Platform for a venue

3. Account Registration

To use certain features of the Platform, you must register for an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security of your password and accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized use of your account
  • Be at least 18 years old to create an account

4. User Responsibilities

For All Users:

  • Comply with all applicable laws and regulations
  • Use the Platform only for lawful purposes
  • Not engage in any fraudulent, abusive, or harmful activities
  • Respect the intellectual property rights of OpenVenue and other users
  • Not interfere with or disrupt the Platform or servers

For Venue Owners:

  • Ensure all venue listings are accurate, truthful, and up to date
  • Provide clear and accurate pricing, availability, and cancellation policies
  • Honor all confirmed bookings unless circumstances beyond your control prevent it
  • Maintain venues in safe, clean, and functional condition
  • Comply with all applicable permits, licenses, and regulations

For Event Organizers:

  • Provide accurate information about your event and requirements
  • Respect venue policies and rules
  • Pay all fees associated with your bookings in a timely manner
  • Leave venues in the condition you found them

5. Bookings and Payments

Booking Process:

When you request a booking, you enter into a direct contract with the venue owner. OpenVenue acts as a platform to facilitate this transaction but is not a party to the agreement between you and the venue owner.

Payment Processing:

  • All payments are processed securely through our third-party payment providers
  • Payment terms are as specified in each venue listing
  • OpenVenue may charge service fees, which will be clearly displayed before booking confirmation
  • All fees are in Canadian dollars unless otherwise stated

Cancellations and Refunds:

  • Cancellation policies are set by individual venue owners
  • The applicable cancellation policy will be displayed before you confirm your booking
  • Refunds, if applicable, will be processed according to the venue's cancellation policy
  • OpenVenue service fees are generally non-refundable unless required by law

6. Service Fees

OpenVenue charges service fees to both venue owners and event organizers. These fees help us maintain and improve the Platform. Fee amounts will be clearly displayed before any transaction is completed. We reserve the right to change our fees at any time with reasonable notice.

7. Intellectual Property

The Platform and its original content, features, and functionality are owned by OpenVenue and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our services without our prior written consent.

8. User Content

By posting content on the Platform (including venue listings, reviews, messages, and photos), you grant OpenVenue a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display such content for the purpose of operating and promoting the Platform. You represent that you have all necessary rights to the content you post.

9. Prohibited Activities

You may not:

  • Use the Platform for any illegal purpose or in violation of any laws
  • Impersonate any person or entity or falsely state your affiliation with anyone
  • Attempt to gain unauthorized access to the Platform or other users' accounts
  • Transmit viruses, malware, or other malicious code
  • Harvest or collect information about users without their consent
  • Engage in spam, phishing, or other unsolicited communications
  • Circumvent or bypass the Platform to complete transactions outside the system

10. Disclaimers and Limitation of Liability

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. OpenVenue does not guarantee that the Platform will be uninterrupted, secure, or error-free.

OpenVenue is not responsible for the conduct of users or the accuracy of venue listings. We do not verify the identity of users or the accuracy of information they provide. Any reliance on such information is at your own risk.

To the maximum extent permitted by law, OpenVenue shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses.

11. Indemnification

You agree to indemnify and hold harmless OpenVenue, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Platform or violation of these Terms.

12. Dispute Resolution

Disputes between users (such as between venue owners and event organizers) should be resolved directly between the parties. While OpenVenue may provide support to help resolve disputes, we are not obligated to do so and are not liable for the outcome of any disputes.

13. Termination

We may suspend or terminate your account and access to the Platform at any time, with or without notice, for any reason, including violation of these Terms. You may also terminate your account at any time by contacting us. Upon termination, your right to use the Platform will immediately cease.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or through the Platform. Your continued use of the Platform after such changes constitutes acceptance of the modified Terms.

15. Privacy

Your use of the Platform is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal information.

16. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law provisions. Any disputes shall be subject to the exclusive jurisdiction of the courts located in Ontario, Canada.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

By using OpenVenue, you acknowledge that you have read and understood these Terms and Conditions and agree to be bound by them.

OpenVenue is free to use — ads on free venue listings keep it that way.

Accepting ads lets us show you all venues, including free listings supported by advertising. If you decline, only paid (ad-free) listings will be shown. See our Privacy Policy.
